FRANCHISE & SERVICE PROVIDER AGREEMENT

(hereinafter referred to as the "Service Provider", which expression shall, unless repugnant to the context, include its successors, affiliates, subsidiaries, legal representatives and permitted assigns)

OF THE FIRST PART
(hereinafter referred to as the "Franchisee", which expression shall include its successors, legal representatives and permitted assigns)

OF THE SECOND PART
The Service Provider and the Franchisee shall hereinafter collectively be referred to as the "Parties" and individually as a "Party."

RECITALS
WHEREAS, the Service Provider is engaged in the business of providing technology-enabled business solutions, financial facilitation services, digital verification services, taxation and compliance support, business registration services, insurance facilitation, software platforms, and allied business solutions through its proprietary platform and authorized partner network.

WHEREAS, the Franchisee has represented that it possesses the necessary infrastructure, capability, and intention to market and provide the Services under the brand name of Familio Future Federation, subject to the terms and conditions of this Agreement.

WHEREAS, the Parties desire to establish a non-exclusive commercial relationship whereby the Franchisee shall market and facilitate approved services through the Service Provider's platform.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows:

1. DEFINITIONS

For the purpose of this Agreement:

"Agreement" means this Franchise & Service Provider Agreement together with all Annexures, Schedules, Policies, and amendments issued by the Service Provider.

"Platform" means the online portal, CMS, website, APIs, dashboards, mobile applications, software, and technology infrastructure owned or authorized by the Service Provider.

"Services" means all financial, taxation, compliance, digital, verification, credit bureau, insurance, business registration, and allied services made available through the Platform.

"Wallet" means the prepaid digital wallet maintained by the Franchisee for availing eligible services through the Platform.

"Commission" means the incentive payable to the Franchisee on eligible products, subject to the prevailing commission structure.

"Cashback" means promotional service credits granted under eligible franchise plans, which are non-withdrawable, non-transferable, and redeemable only against eligible services.

"API Partner" means any third-party service provider, bank, NBFC, financial institution, technology provider, verification agency, credit bureau, payment gateway, governmentauthorized portal, or other integrated partner through whom the Services are delivered.

"Customer" means any individual, proprietor, partnership, company, LLP, trust, society, institution, or any other legal entity that avails services through the Franchisee.

"Applicable Law" means all applicable laws, rules, regulations, notifications, circulars, guidelines, and directions issued by competent authorities in India.

Unless the context otherwise requires:

 Headings are for convenience only and shall not affect interpretation.
 Words importing the singular include the plural and vice versa.
 References to any law include amendments and re-enactments thereof.
 References to one gender include all genders.
 Annexures and Schedules form an integral part of this Agreement.

3. APPOINTMENT OF FRANCHISEE

3.1 The Service Provider hereby appoints the Franchisee as a non-exclusive, nontransferable, and revocable Franchise & Business Associate for marketing and facilitating approved services through the Platform.
3.2 The Franchisee shall not represent itself as an employee, legal agent, or partner of the Service Provider except to the extent expressly authorized under this Agreement.
3.3 This Agreement does not create any partnership, joint venture, employer-employee relationship, or agency beyond the limited rights expressly granted herein.
3.4 The Service Provider reserves the absolute right to appoint additional franchisees, distributors, channel partners, or service providers in any territory without restriction.
3.5 The Franchisee shall conduct its business ethically, professionally, and in compliance with all applicable laws and the policies of the Service Provider.

4. SCOPE OF BUSINESS

The Franchisee is authorized to promote, market, facilitate, and provide eligible services through the Familio Future Federation platform strictly in accordance with the policies, operational guidelines, and business standards prescribed by the Service Provider.

The Franchisee shall operate only through the official CMS, website, APIs, mobile applications, and other digital platforms approved by the Service Provider.

The Franchisee shall not provide any service that is not officially approved by the Service Provider or make any false commitments, guarantees, or representations to customers.

The Service Provider reserves the right to introduce, modify, suspend, or discontinue any service, product, feature, pricing, commission structure, or operational process at its sole discretion without prior notice.

5. BUSINESS MODEL
Familio Future Federation operates as a technology-enabled business platform offering financial facilitation, digital verification, taxation, compliance, insurance, business registration, and allied services through authorized partners.
The Franchisee acts as an independent business associate and shall facilitate customer applications using the Company's platform. Final approval, verification, processing, pricing, and service delivery may be subject to the policies of the respective banks, NBFCs, government authorities, API providers, and service partners.
The Franchisee acknowledges that the Service Provider is primarily a technology and service aggregation platform and shall not be responsible for decisions taken by third-party partners.

7. RIGHTS OF THE SERVICE PROVIDER

The Service Provider shall have the exclusive right to:

Modify, suspend, or discontinue any service, product, API, or business feature.
2. Revise franchise plans, pricing, commission structures, and operational policies
3. Suspend or terminate the Franchisee for violation of this Agreement.
4. Conduct audits of transactions, customer records, and platform usage.
5. Reject any customer application found to be incomplete, inaccurate, fraudulent, or non-compliant.
6. Introduce new services or withdraw existing services at its sole discretion.
7. Monitor the Franchisee's business practices to ensure compliance with applicable laws and company standards.
8. Protect its intellectual property, branding, software, and confidential information from unauthorized use.

8. RIGHTS OF THE FRANCHISEE

Subject to compliance with this Agreement, the Franchisee shall be entitled to:
 Access the approved CMS platform and digital dashboard.
 Market and facilitate eligible services under the Familio Future Federation brand.
 Receive commissions on eligible products, subject to prevailing policies.
 Access technical support and operational guidance provided by the Service Provider.
 Utilize approved marketing materials supplied by the Service Provider.
 Participate in promotional campaigns, training programs, and business initiatives as announced by the Service Provider.

The Franchisee shall have no exclusive territorial rights unless specifically granted in writing.

9. OBLIGATIONS OF THE FRANCHISEE

 Conduct business honestly, ethically, and professionally.
 Comply with all applicable laws, regulations, and company policies.
 Obtain valid customer consent before processing any application.
 Maintain accurate customer records and documentation.
 Protect customer information and maintain confidentiality.
 Use only official branding, marketing materials, and digital assets approved by the Service Provider.
 Refrain from collecting unauthorized fees or making misleading representations.
 Ensure that all applications submitted are genuine, complete, and supported by authentic documents.
 Promptly report any suspicious, fraudulent, or unauthorized activities to the Service Provider.

The Franchisee shall not:

 Sub-license or transfer its franchise rights without written approval.
 Misuse the Company's name, logo, software, or intellectual property.
 Share platform credentials or API access with unauthorized persons.
 Engage in activities that may harm the reputation of Familio Future Federation.

10. OBLIGATIONS OF THE SERVICE PROVIDER

The Service Provider shall:
 Provide access to the approved platform and services.
 Offer technical assistance and operational support as reasonably required.
 Maintain and update the platform from time to time.
 Process eligible service requests through authorized partners.
 Make available training materials, operational guidelines, and marketing resources, where applicable.
 Credit eligible commissions and promotional benefits in accordance with prevailing policies.

The Service Provider does not guarantee uninterrupted platform availability and may suspend services for maintenance, upgrades, or technical reasons.

11. COMMERCIAL TERMS

The Franchisee agrees to pay all applicable franchise fees, activation charges, wallet recharge amounts, service charges, taxes, and any other fees notified by the Service Provider.

The Franchisee acknowledges that:
 Franchise fees are payable in advance.
 Taxes shall be charged as applicable under Indian law.
 The Service Provider reserves the right to revise pricing at any time.
 All commercial transactions shall be recorded electronically through the platform.
 Promotional offers are subject to specific terms and conditions and may be modified or withdrawn without prior notice.

12. PAYMENT TERMS

All payments made by the Franchisee shall be through approved banking channels, payment gateways, or digital payment methods authorized by the Service Provider.

The Franchisee agrees that:
 Payments shall be deemed final upon successful confirmation.
 The Service Provider may refuse activation if payment verification is incomplete.
 Any bank charges, gateway charges, taxes, or statutory levies shall be borne by the Franchisee unless otherwise specified.

13. BUSINESS CONDUCT

The Franchisee shall maintain the highest standards of integrity and professionalism while dealing with customers.

The Franchisee shall not:
 Offer guaranteed loan approvals or financial benefits.
 Promise commissions or incentives not approved by the Service Provider.
 Use misleading advertisements or false claims.
 Engage in unfair trade practices.
 Misrepresent the Company's products, services, or policies.

Note: The services listed below are made available through Familio Future Federation directly and/or through authorized Banks, NBFCs, Financial Institutions, Government Portals, Technology Partners, API Providers, and other approved service providers. The Service Provider reserves the right to add, modify, suspend, or discontinue any service without prior notice.

Important Terms
 Credit reports are generated directly from the respective Credit Bureau.
 Familio Future Federation does not modify or alter any bureau data.
 The Service Provider shall not be liable for inaccuracies or delays originating from Credit Bureau partners.
 Customer consent is mandatory before generating any Credit Report.

2. FINANCIAL SERVICES

The Franchisee shall be eligible to facilitate financial products offered through approved lending institutions.

Important Terms
 Approval or rejection is solely at the discretion of the respective Bank or NBFC.
 Familio Future Federation shall not guarantee loan approval.
 Interest rates, eligibility, documentation, and processing timelines are determined by the lending institution.

3. MICRO FINANCE & INSTANT LOAN SERVICES

Micro Finance services are facilitated through approved technology partners and lending institutions.
Services may include:

4. INSURANCE SERVICES
Subject to partner availability, the Franchisee may facilitate:

General Insurance

Other Insurance
 Shop Insurance  MSME Insurance  Fire Insurance  Group Insurance

Insurance products are issued solely by IRDAI-authorized insurance companies.

5. TAXATION & COMPLIANCE SERVICES
Familio Future Federation provides taxation and compliance support through qualified professionals and authorized service partners.

Familio Future Federation does not guarantee approval of any Government Scheme or subsidy. All approvals are solely at the discretion of the respective Government Department or Competent Authority.

ANNEXURE – WALLET, COMMISSION & WITHDRAWAL POLICY
1. Franchise Wallet

1. The Company shall provide a Digital Franchise Wallet to the Franchisee for receiving service commissions and incentives.
2. The Wallet is maintained solely for business transactions conducted through the Company's platform.
3. The Wallet shall only reflect commission earnings approved by the Company.

3. Commission Credit
The Company may credit commissions into the Franchise Wallet based on:
 Loan Disbursement Commission  Insurance Commission  Credit Card Commission  Taxation & CA Service Commission  PAN & Verification Service Commission  Business Registration Commission  Digital Marketing Commission  Website & CMS Sales Commission  Referral Incentives  Promotional Rewards  Any other approved service commission.

The Company reserves the right to verify every transaction before releasing any commission.

4. Wallet Withdrawal
1. The Franchisee may submit a withdrawal request only for the approved commission balance available in the Wallet.
2. No withdrawal shall be permitted against pending, disputed, cancelled, reversed, or fraudulent transactions.
3. Withdrawals shall be processed only after successful KYC verification and bank account validation.
4. The Company reserves the right to hold, reject, reverse, or delay any withdrawal in case of:
o Fraudulent activity;
o Chargeback or refund;
o Policy violation;
o Regulatory compliance requirements;
o Regulatory compliance requirements;

5. No Cashback Withdrawal

1. Any cashback, promotional reward, bonus amount, or incentive credited by the Company shall not be transferable or withdrawable, unless specifically approved in writing by the Company.
2. Such promotional credits may only be adjusted against eligible Company services where applicable.

6. Non-Transferability
The Wallet balance cannot be:

 Sold  Assigned  Transferred  Gifted  Shared  Converted into cash except through the Company's approved withdrawal process.

7. Company Rights
 Freeze the Wallet;  Reverse any incorrect commission;  Recover excess payments;  Suspend withdrawals;  Modify commission calculations;  Close the Wallet upon termination of the Franchise Agreement.

8. Taxes & Deductions
The Company may deduct:

 TDS (where applicable)  GST adjustments  Statutory deductions  Refunds  Chargebacks  Penalties  Outstanding dues
before processing any commission withdrawal.

9. Final Decision

The Company's records, commission calculations, wallet ledger, and withdrawal approval shall be final and binding upon the Franchisee. Any dispute shall be governed by the Franchise Agreement and applicable laws of India.
Franchise Fee – Non-Refundable Policy

The Franchisee acknowledges and agrees that the Franchise Registration Fee, Activation Fee, Setup Fee, Training Fee, Branding Fee, Software/CMS Activation Charges, White Label Charges, and all other amounts paid to Familio Future Federation are strictly Non-Refundable and Non-Transferable.

Once the Franchise Application is approved and the onboarding, account activation, software provisioning, documentation, training, branding, or any related services have been initiated or completed, no refund shall be claimed or payable under any circumstances, including but not limited to:
 Voluntary cancellation by the Franchisee.
 Change of business plans or personal reasons.
 Failure to use the franchise or platform.
 Dissatisfaction arising from lack of sales, business performance, or expected profits.
 Closure or discontinuation of business by the Franchisee.
 Failure to complete documentation after registration.
 Suspension or termination due to breach of this Agreement or Company policies.

The Franchisee understands that the fees paid cover software licensing, onboarding, technical setup, branding, training, documentation, support, and administrative costs, all of which are incurred immediately upon activation. Accordingly, the Franchisee expressly waives any right to claim a refund of such fees.

All payments made towards the Franchise are final and shall not be refundable, adjustable, or transferable to any other person, account, product, or service, unless expressly approved in writing by the Company.

Fraud, Misuse & Immediate Termination Policy

The Franchisee shall conduct all business activities honestly, ethically, and in accordance with applicable laws and the policies of Familio Future FederationIf the Franchisee, its employees, agents, or representatives engage in any fraudulent activity, misrepresentation, forgery, unauthorized collection of money, false commitments, illegal transactions, misuse of the Company's name, logo, brand identity, website, software, or any other act that may harm the reputation or business interests of the Company, the Franchisee shall be solely responsible for all such actions.

The Company shall not be liable or responsible for any financial loss, legal claim, civil liability, criminal proceeding, customer dispute, penalty, compensation, or damages arising out of such fraudulent or unauthorized acts committed by the Franchisee. All liabilities shall be borne exclusively by the Franchisee.

Upon receiving any complaint, evidence, or reasonable suspicion of fraud, misconduct, policy violation, or misuse of the Company's brand Familio Future Federation reserves the absolute right to immediately suspend or permanently terminate the Franchisee's account, Franchise ID, CMS Panel, Wallet, Login Access, API Access, and all associated services without prior notice.

In such cases:
 The Franchise Agreement shall stand terminated with immediate effect.
 The Franchisee shall not be entitled to any refund of the Franchise Fee, Wallet Balance, Activation Charges, or any other payments made to the Company.
 The Franchisee shall not be entitled to any refund of the Franchise Fee, Wallet Balance, Activation Charges, or any other payments made to the Company.
 The Franchisee shall indemnify and keep the Company harmless against any claims, losses, liabilities, damages, penalties, costs, or legal expenses arising from such misconduct.

The Company's decision regarding suspension or termination in cases involving fraud, illegal activity, or misuse of its brand shall be final and binding.
